Constitution

NAME

1.        This society shall be known as the “Radin Mas Primary School – Parent Link”, hereinafter referred to as the “RMPS – Parent Link”.

PLACE OF BUSINESS

2.        Its place of business shall be c/o Radin Mas Primary School, 1 Bukit Purmei Avenue, Singapore 099840 or such other address as may subsequently be decided upon by the Executive Committee (the “Exco”) and approved by the Registrar of Societies.  The Society shall carry out its activities only in places and premises which have the prior written approval from the relevant authorities, where necessary.

OBJECTIVES

3.1      Its objectives are:

a)            to promote rapport and foster mutual support among parents of RMPS – Parent Link;
b)            to maintain links between parents and the School;
c)            to organise and support the activities of RMPS – Parent Link and the School;
d)            to encourage parental involvement in the programmes of the School; and
e)            to support the vision of the school.

MEMBERSHIP QUALIFICATIONS AND RIGHTS

4.1      All parents or legal guardians of students currently enrolled in RMPS are automatically Members of the RMPS -Parent Link.

4.2      There shall be two categories of membership:

a)            Ordinary Membership

Ordinary Members can participate in all activities and functions organised by RMPS – Parent Link and enjoy all privileges of Ordinary Membership, including the right to vote at General Meetings.

b)           Associate Membership

Parents whose children have graduated from RMPS may also join as an Associate Member of RMPS-Parent Link if recommended by the Exco and approved by a simple majority of those present at any Exco Meeting.

Associate Members can participate in all activities and functions organised by RMPS – Parent Link and enjoy all privileges of Ordinary Membership, except the right to vote.

4.3       Only members who are 21 years of age and above shall have the right to vote and to hold office in the Society.

MEMBERSHIP DETAILS

5.1      Parents and guardians shall submit their particulars to the Secretary on a prescribed form.

5.2      The Executive Committee (”Ëxco”) will approve the application for membership.

5.3      A copy of the Constitution shall be made available online.

MEMBERSHIP FEES AND OTHER DUES

6.1      The membership fees shall be determined  at the General Meeting on recommendation from the Exco from time to time.

SUPREME AUTHORITY AND GENERAL MEETINGS

7.1      The supreme authority of the RMPS – Parent Link is vested in a General Meeting of members presided by the Chairman.

7.2      An Annual General Meeting (“AGM”) shall be held in the last quarter of the year.

7.3      At other times, an Extraordinary General Meeting (“EGM”) must be called by the Chairman on the request in writing of not less than 25% of the total voting membership or 20 voting members, whichever is the lesser, and may be called at any time by order of the Exco.  The notice in writing shall be given to the Secretary setting forth the business that is to be transacted. The EGM shall be convened within two months upon receiving this request.

7.4      If the Exco does not within two months after the date of receipt of the written request proceed to convene an EGM, the members who requested for the EGM shall convene the EGM by giving ten days’ notice to voting members setting forth the business to be transacted and posting the agenda on the RMPS-Parent Link’s Notice Board.

7.5      At least two weeks’ notice shall be given of an AGM and at least ten days’ notice of an EGM.  Notice of Meeting stating the date, time, venue and particulars of the agenda shall be sent by the Secretary to all voting members.

7.6      Unless otherwise stated in this Constitution, voting by proxy shall not be allowed at all General Meetings.

7.7      The following points will be considered at the Annual General Meeting:

a)            The previous financial year’s accounts and annual report of the Exco.

b)            When applicable, the election of office-bearers and Honorary Auditor for the following term.

c)            To discuss any other matter or matters which the committee may deem fit.

7.8      Any member who wishes to place an item on the agenda of a General Meeting may do so provided he gives notice to the Secretary one week before the meeting is due to be held.

7.9      At least 25% of the total voting membership or 20 voting members, whichever is the lesser, present at a General Meeting shall form a quorum.  Proxies shall not constitute as part of the quorum.

7.10    In the event of there being no quorum at the commencement of a General  Meeting, the meeting shall be adjourned for 15 minutes and should the numbers present be insufficient to form a quorum, those present shall be considered a quorum, but they shall have no power to amend any of the existing Constitution .

7.11    Questions arising at the General Meeting shall be decided by a simple majority vote. Parent(s) of each RMPS student qualify for one vote at the General Meeting. In the event of an equality of votes, the Chairman of the General Meeting shall be entitled to the casting vote.

MANAGEMENT AND EXCO

8.1      The administration of the RMPS – Parent Link shall be entrusted to an Executive Committee (herein after called as Exco) consisting of the following to be elected at the Annual General Meeting:

  • A Chairman
  • A Vice-Chairman
  • A Secretary
  • A Treasurer
  • Up to five Ordinary Committee Members

The school Principal and Vice-Principal shall be the advisors of RMPS – Parent Link.

There will be at least one teacher representative appointed by the school acting as a liaison officer.

8.2      Any two members may propose in writing to the Secretary ten days before AGM any candidate or candidates as members of the Exco and the proposal shall be subjected to the approval of the current Exco. Names for the above offices shall be proposed and seconded at the AGM and election will follow on a simple majority vote of the members, subject to the following :

a)                All office-bearers except the Treasurer may be re-elected to the same or related post for a consecutive term of office.

b)                The term of office of the Exco is one year.

c)                 Only one parent or guardian in a family can be elected into the Exco.

8.3      Election will be either by show of hands or, subject to the agreement of majority of the voting members present, by a secret ballot. In the event of a tie, the Chairman of the meeting shall have a casting vote.

8.4      An Exco Meeting shall be held at least twice a year after giving seven days’ notice to Exco Members.  The Chairman may call an Exco Meeting at any time by giving five days’ notice. At least half of the Exco Members must be present for its proceedings to be valid.

8.5      An Exco member may resign upon giving one month’s notice to the Exco.  Any member of the Exco absenting himself from three meetings consecutively without satisfactory explanation shall be deemed to have withdrawn from the Exco.  A successor may co-opted by the Exco to serve until the next Annual General Meeting.  Any changes in the Exco shall be notified to the Registrar of Societies within two weeks of the change.

8.6      The duty of the Exco is to organise and supervise the daily activities of the RMPS – Parent Link.  The Exco may not act contrary to the expressed wishes of the General Meeting without prior reference to it and always remains subordinate to the General Meetings.

8.7      The Exco has power to authorise the expenditure of a sum not exceeding S$2,000 from the RMP – Parent Link funds for RMPS – Parent Link purposes.

8.8      The Principal, Vice-Principal and representative teacher(s) may be invited to attend all Exco meetings.  However they shall have no rights to vote at all the meetings.

8.9      The Principal, subjected to the provisions of the Education Ordinance and the Regulations made there under, and without prejudice to the internal arrangements of the School shall provide the necessary facilities in the School for the carrying out RMPS – Parent Link activities and the holding of the meetings and for the proper conduct of RMPS – Parent Link.

DUTIES OF OFFICE-BEARERS

9.1      The Chairman shall chair all General and Exco meetings.  He shall also represent the RMPS – Parent Link in its dealings with outside persons.

9.2     The Vice-Chairman shall assist the Chairman and deputise for him in his absence.

9.3     The Secretary shall keep all records, except financial, of the RMPS – Parent Link and shall be responsible for their correctness.  He will keep minutes of all General and Exco meetings.  He shall maintain an up-to-date Register of all Members at all times.

9.4      The Treasurer shall keep all funds and collect and disburse all monies on behalf of RMPS – Parent Link and shall keep an account of all monetary transactions and shall be responsible for their correctness.  He shall be authorised to spend up to S$2,000 per month for petty expenses on behalf of RMPS – Parent Link. He shall not keep more than S$200 in the form of cash, and money in excess of this shall be deposited into a bank to be named by the Exco. Cheques withdrawals from the bank should be operated as follows:-

“For any amounts up to and including S$200 any one authorised signatory from Group A or Group B to sign singly”

“For any amounts above S$200 and up to S$5,000 any one of the authorised signatory from Group B to sign jointly with any one authorised signatory from Group A OR both signatory from Group B”

Office Bearers of Group A and B are as follows:

  • Group A – Vice Chairman and Secretary
  • Group B – Chairman and Treasurer

9.5      Exco Members shall assist in conducting the affairs and acivities of the RMPS – Parent Link and perform duties assigned by the Office Bearers from time to time. Non-Exco members assisting in the organisation of such activities shall obtain prior approval from the Exco.

AUDIT AND FINANCIAL YEAR

10.1    At least one voting member, not being member of the Exco, shall be appointed as Honorary Auditor at the Annual General Meeting and will hold office for a term of one year only and shall not be re-appointed for a consecutive term.

10.2    They:

a)         will be required to audit each year’s accounts and present a report upon them to the Annual General Meeting.

b)        may be required by the Chairman to audit the RMPS – Parent Link’s accounts for any period within their tenure of office at any date and make a report to the Exco.

10.3    The financial year shall be from 1st October of the current year till 30th September of the following year.

PROHIBITIONS

11.1    Gambling of any kind, whether for stakes or not, is forbidden on the RMPS – Parent Link’s premises.  The introduction of materials for gambling or drug taking and of bad characters into the premises is prohibited.

11.2    The funds of the RMPS – Parent Link shall not be used to pay the fines of members who are convicted in court of law.

11.3    The RMPS – Parent Link shall not engage in any trade union activity as defined in any written law relating to trade unions for the time being in force ¡n Singapore.

11.4    The RMPS – Parent Link shall not attempt to restrict or interfere with trade of making directly or indirectly any recommendation to, any arrangement with its members which as the purpose or is likely to have effect of fixing or controlling the price of any discount, allowance or rebate relating to any goods or service which adversely affect consumer interests.

11.5    The RMPS – Parent Link shall not indulge in any political activity or allow its funds and/or premises to be used for such political purposes.

11.6    The RMPS – Parent Link shall not hold any lottery, whether confine to its own members or not, in the name of the RMPS – Parent Link or its office-bearers, Exco or members unless with the prior approval of the relevant authorities.

11.7    The RMPS – Parent Link shall not raise funds from the public for whatever purpose without the prior approval in writing from the Head, Licensing Division, Singapore Police Force and other relevant authorities.

SCHOOL’S INTEREST

12       The Exco shall consult with the Principal of RMPS on all matters affecting the school or having implications for the school.

AMENDMENTS TO CONSTITUTION

13       No alteration or addition/deletion to this Constitution shall be made except at a general meeting and with the consent of two-third of the voting members present at the General Meeting, and shall not come into force without the prior sanction of the Registrar of Societies should read as 25% of eligible voting members or minimum 20 members to form quorum.

INTERPRETATION

14      In the event which is not power to use it is reversed of any question or mailer pertaining to day-to-day administration, expressly provided for in this Constitution, the Exco shall have the their own discretion.  The decision of the Exco shall be final unless it is reversed at a General Meeting by members.

DISPUTES

15       In the event of any dispute arising amongst members, they shall attempt to resolve the matter at an EGM in accordance with this Constitution.  Should the members fail to resolve the matter, they may bring the matter to a court of law for settlement.

DISSOLUTION

16.1    The RMPS – Parent Link shall not be dissolved, except with the consent of not less than three-fifth of the total voting membership of the RMPS – Parent Link for the time being resident in Singapore expressed, either in person or by proxy, at a General Meeting convened for the purpose.

16.2    In the event of the RMPS – Parent Link being dissolved as provided above, all debts and liabilities legally incurred on behalf of the RMPS – Parent Link shall be fully discharged, and the remaining funds will be disposed of in such manner as the General Meeting of members may determine or donate to an approved charity or charities in Singapore.

16.3   A Certificate of Dissolution shall be given within seven days of the dissolution to the Registrar of Societies.
